Terms of Service

By accessing or using any part of the PandaStack platform — including pandastack.io, the dashboard at dashboard.pandastack.io, the API, and all products under the PandaStack umbrella (PandaWatch, Sandflare, PandaStack AI, PandaFlow) — you agree to be bound by these Terms of Service ("Terms"). These Terms form a binding agreement between you and Pandastackio Inc ("PandaStack", "we", "us", or "our").

If you are using PandaStack on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the service.

To use PandaStack you must create an account. You agree to:

• Provide accurate, complete, and current registration information.
• Maintain the security of your account credentials and not share them with others.
• Notify us immediately at support@pandastack.io if you suspect unauthorised access.
• Be responsible for all activity that occurs under your account.

We reserve the right to refuse registration or cancel accounts at our discretion, particularly where we believe Terms are being violated.

You may use PandaStack only for lawful purposes. You agree not to:

• Deploy or distribute malware, spyware, ransomware, or any malicious software.
• Use the platform to send spam, conduct phishing, or engage in any fraudulent activity.
• Mine cryptocurrency without our prior written consent.
• Attempt to gain unauthorised access to any PandaStack system, network, or other user’s resources.
• Conduct denial-of-service attacks or deliberately overload platform infrastructure.
• Host content that is illegal, defamatory, or violates any third party’s intellectual property rights.
• Resell, sublicense, or provide PandaStack services to third parties without explicit permission.
• Circumvent usage limits, billing controls, or security measures.

We may suspend or terminate accounts that violate these policies without prior notice.

PandaStack provides cloud infrastructure services including but not limited to: static site hosting, container deployments, managed databases, scheduled cron jobs, edge functions, managed applications (WordPress, Drupal), monitoring, and team collaboration tools.

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance, infrastructure failures, or events beyond our control may cause downtime. We will make reasonable efforts to notify you of planned maintenance in advance.

We reserve the right to modify, deprecate, or discontinue any feature or product with reasonable notice.

Paid plans are billed in advance on a monthly or annual cycle. All payments are processed by Stripe. By providing payment details, you authorise us to charge your payment method for all fees incurred.

• Fees are non-refundable except as required by law or at our sole discretion.
• If a payment fails, we will attempt to retry. Accounts with overdue balances may be suspended.
• We may change pricing with at least 30 days’ notice. Continued use after the effective date constitutes acceptance.
• You are responsible for all taxes applicable to your purchase.

PandaStack offers a free tier subject to resource limits. We reserve the right to modify or discontinue the free tier at any time with reasonable notice. Free tier resources may be reclaimed after prolonged inactivity (30+ days of no deployments).

You retain ownership of all code, data, and content you deploy on PandaStack ("Your Content"). By deploying content on our platform, you grant Pandastackio Inc a limited, non-exclusive licence to host, store, and serve Your Content solely for the purpose of providing the service to you.

You are solely responsible for Your Content and for ensuring it complies with applicable laws and does not infringe any third-party rights. We do not monitor the content of your deployments but reserve the right to remove content that violates these Terms.

The PandaStack platform, including all software, trademarks, logos, and documentation, is owned by Pandastackio Inc and is protected by applicable intellectual property laws. Nothing in these Terms grants you a right to use our trademarks or branding without our prior written consent.

Open-source components used in PandaStack are subject to their respective licences.

We treat your deployment configurations, environment variables, secrets, and data as confidential. We will not access your deployment environment except as necessary to provide support (with your consent), ensure platform security, or comply with legal obligations.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PANDASTACKIO INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO PANDASTACK IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

You agree to defend, indemnify, and hold harmless Pandastackio Inc, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

You may cancel your account at any time from the dashboard. Upon cancellation, your deployments will be terminated and your data will be retained for 30 days before deletion.

We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or if we are required to do so by law. We will make reasonable efforts to notify you before termination unless the violation is severe (e.g., active abuse or security threat).

Provisions that by their nature should survive termination (including Sections 7, 8, 10, 11, 12, and 14) will continue to apply after termination.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law principles.

Any dispute arising from or relating to these Terms or the service shall first be attempted to be resolved informally by contacting support@pandastack.io. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration in Delaware, USA, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

We may update these Terms at any time. We will notify you of material changes via email or an in-dashboard notice at least 14 days before the changes take effect. Your continued use of the service after the effective date constitutes your acceptance of the updated Terms.

• These Terms constitute the entire agreement between you and PandaStack regarding the service.
• If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
• Our failure to enforce any right or provision is not a waiver of that right.
• You may not assign these Terms without our written consent. We may assign them freely.
